Terms & Conditions

By accessing or using the AGENOTO platform and services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.

The Service is intended for business use by individuals aged 18 or older. By using the Service, you confirm you meet these requirements and are not prohibited from accessing the Service under applicable law.

You are responsible for:

- Providing accurate and complete account information - Maintaining the security of your account credentials - All activity that occurs under your account - Ensuring that authorized users in your workspace comply with these Terms - Promptly notifying us of any unauthorized access

You may not share your account credentials or create accounts on behalf of others without authorization.

AGENOTO provides tools to create, configure, deploy, and govern autonomous digital agents ("Agents") that execute defined business workflows. You may:

- Create and configure Agents within the permissions you define - Connect authorized third-party tools and systems - Publish Agents to the marketplace subject to review and approval - Build custom tools and integrations through the developer platform

All Agents you deploy operate within the permission boundaries you configure. You are responsible for reviewing and approving Agent configurations, including the tools, data sources, and permissions granted.

AGENOTO enables automated execution of workflows by AI Agents. Important limitations apply:

- AGENOTO does not guarantee the accuracy, completeness, or appropriateness of any Agent output - You remain solely responsible for reviewing, validating, and acting upon Agent outputs, particularly in contexts with business, legal, financial, or operational consequences - Where workflows require human approval, you are responsible for ensuring appropriate review occurs before authorizing downstream actions - AGENOTO's approval gate and governance features are tools to support oversight — they do not replace your responsibility for appropriate review

You may not use the Service to:

- Violate applicable laws or regulations - Infringe on the intellectual property rights of others - Automate harmful, abusive, or harassing behavior - Circumvent platform security or permission controls - Collect data without authorization from the relevant data subjects - Deploy Agents for surveillance, discrimination, or other prohibited purposes - Interfere with other users' access to or enjoyment of the Service

The AGENOTO Marketplace allows approved developers to distribute Agents to other users. When installing marketplace Agents:

- You accept the permissions disclosed in the Agent's marketplace listing - AGENOTO reviews Agents for security, but does not guarantee their fitness for all use cases - You are responsible for evaluating whether a marketplace Agent is appropriate for your business context - Developer-created Agents may be governed by additional terms provided by the developer

AGENOTO retains all intellectual property rights in the platform, including software, documentation, and underlying technology.

You retain ownership of the business data, content, and configurations you create within the platform. By using the Service, you grant AGENOTO a limited license to process your data as necessary to provide the Service.

You may not reverse engineer, copy, or create derivative works of the AGENOTO platform.

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to pay all applicable fees. Subscription details, pricing, and billing terms are presented at the time of purchase and in your account settings.

Refunds are governed by our Refund Policy. We reserve the right to modify pricing with advance notice.

We aim to maintain continuous availability of the Service but do not guarantee uninterrupted access. Planned maintenance, security incidents, or technical issues may result in temporary unavailability. We are not liable for damages resulting from service interruptions.

We may suspend or terminate your access to the Service if:

- You violate these Terms or the Acceptable Use Policy - Your account presents a security risk - Required by law or court order

Upon termination, your right to use the Service ceases. You may request export of your data prior to termination where technically feasible.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AGENOTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AGENOTO DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENOTO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

AGENOTO'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.

We may update these Terms periodically. Material changes will be communicated via email or platform notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
